These Terms and Conditions of Sale apply, without restriction or reservation, to all sales concluded by Mina Lights ("the Seller") to consumers and non-professional buyers ("the Customers" or "the Customer") wishing to purchase the products offered for sale by the Seller ("the Products") on the website minalights.com.
They set out in particular the terms of ordering, payment, delivery and the handling of any returns of Products ordered by Customers.
These Terms and Conditions of Sale may be supplemented by specific terms set out on the website, prior to any transaction with the Customer.
These Terms and Conditions of Sale apply to the exclusion of all other terms.
They are accessible at all times on the website minalights.com and shall prevail, where applicable, over any other version or any other conflicting document.
As these Terms and Conditions of Sale may be amended at a later date, the version applicable to a Customer's purchase is the version in force on the website on the date the order is placed.
ARTICLE 2 - PRODUCTS OFFERED FOR SALE
The Products offered for sale on the website minalights.com are as follows:
- Pendant lights, ceiling lights, wall lights and table lamps in a range of styles, materials, sizes and finishes
- Decorative indoor and outdoor lighting, where listed
The main characteristics of the Products, including specifications, illustrations and indications of dimensions or capacity, are presented on the website.
The Customer must review this information before placing an order. The choice and purchase of a Product is the sole responsibility of the Customer.
Photographs illustrate our products and may show slight differences in appearance due to lighting or screen settings. Product descriptions, agreed specifications and statutory consumer rights remain binding.
The Customer must refer to the description of each Product to be aware of its properties, essential characteristics and delivery times.
Contractual information is presented in English and is confirmed at the latest when the Customer's order is validated.
ARTICLE 3 - VALIDITY PERIOD OF THE PRODUCT OFFER
Offers of Products are subject to availability, as specified when the order is placed.
ARTICLE 4 - SELLER'S CONTACT DETAILS
The Seller's contact details are as follows:
Mina Lights (operated by NO RISK NO RICH LTD)
71-75 Shelton Street, Covent Garden
London, WC2H 9JQ, United Kingdom
Email: contact@minalights.com
Company number: 17405018 (Companies House, United Kingdom)
In accordance with applicable UK data protection law, the Customer has, at all times, a right of access, rectification, objection, erasure and portability in respect of all their personal data, by writing by email or post, and providing proof of identity, to the Seller's address mentioned above. For further details, the Customer is invited to consult our Privacy Policy.
Validation of the order by the Customer constitutes acceptance, without restriction or reservation, of these Terms and Conditions of Sale. The Customer acknowledges having the capacity required to enter into a contract and to purchase the Products offered on the website.
ARTICLE 5 - ORDERS
5-1. Placing an order
It is the Customer's responsibility to select on the website the Products they wish to order. The Customer may check the details of their order, its total price, and correct any errors before confirming acceptance. It is the Customer's responsibility to verify the accuracy of the order and to report or correct any error immediately.
Before placing an order, the Customer can review the order summary and these Terms and Conditions of Sale. By completing checkout and placing the order, the Customer acknowledges the applicable terms, including our Terms of Service.
The sale is only final once the Seller has sent the Customer confirmation of acceptance of the order by email, sent without delay after receipt of payment in full.
Any order placed, validated by the Customer and confirmed by the Seller constitutes the formation of a distance contract between the Customer and the Seller. Unless proven otherwise, the data recorded in the Seller's computer system constitutes proof of all transactions concluded with the Customer.
The Seller reserves the right to cancel or refuse any order from a Customer with whom there is a dispute relating to payment for a previous order.
The Seller does not intend to sell the Products to professionals, but only to consumers or non-professionals, for their personal needs. The Seller therefore reserves the right to refuse orders for the same Product in large quantities, beyond 5 units.
5-2. Amendment of the order
Any amendments to the order by the Customer can only be taken into account by the Seller to the extent possible and provided they are notified by email to contact@minalights.com at least 24 hours before the scheduled dispatch date of the order.
Should such amendments not be capable of being accepted by the Seller, any sums paid by the Customer when placing the order will be refunded within a maximum of 14 days from notification that the requested amendments cannot be accepted (unless the Customer prefers to receive a credit note or an exchange).
5-3. Cancellation of the order
Customers may request cancellation before dispatch by contacting us. We will accommodate such requests where possible. This does not restrict the statutory right to cancel qualifying distance purchases or any other consumer remedies.
ARTICLE 6 - PRICES
Products are supplied at the prices in force as shown on the website when the order is registered by the Seller. Prices are expressed in pounds sterling (£), inclusive of all taxes.
Prices take into account any discounts granted by the Seller on the website. These prices are fixed and cannot be revised during their period of validity, the Seller reserving the right, outside this period, to change prices at any time. They include handling, dispatch, transport and delivery charges, delivery being offered free of charge by the Seller (see Article 8).
The payment requested from the Customer corresponds to the total purchase amount, including these charges.
ARTICLE 7 - PAYMENT TERMS
The price is payable at checkout using the secure payment methods displayed at the time of purchase. Available methods may vary by location and eligibility. Payment authorisation does not restrict any statutory cancellation or refund rights, nor any applicable rights to dispute an unauthorised payment.
ARTICLE 8 - DELIVERY
Products ordered by the Customer are delivered free of charge within the United Kingdom.
The delivery time is on average 5 to 7 business days (1 to 2 business days for processing, then 4 to 5 business days for transit), to the address given by the Customer when ordering. For further details, the Customer is invited to consult our Shipping Policy.
Unless in a particular case or in the event of unavailability of one or more Products, ordered Products are delivered in a single shipment.
The Seller undertakes to make its best efforts to deliver the ordered products within the timeframes specified above, which are given for information purposes. If an order does not arrive within the agreed delivery period, the Customer should contact us so that we can investigate. Where applicable law entitles the Customer to cancel because of late delivery, including where the agreed deadline is essential or after any legally required additional reasonable period, we will honour that right and refund any amounts due without undue delay, within 10 calendar days of cancellation.
In the event of non-conformity of the delivered Product, the Seller undertakes to remedy this or to refund the Customer, as set out in the article "Seller's Liability - Warranty".
The Seller bears the risks of transport and undertakes to reimburse the Customer in the event of damage caused during transport.
Returns of Products must be sent to the address indicated in our Returns & Refunds Policy — and not to the registered office address mentioned in Article 4.
ARTICLE 9 - TRANSFER OF OWNERSHIP - TRANSFER OF RISK
Ownership of the Products shall only transfer from the Seller to the Customer once the price has been paid in full by the Customer, regardless of the delivery date of the said Products.
Regardless of the date of transfer of ownership, the transfer of risk of loss and damage shall only occur when the Customer takes physical possession of the Products. The Products therefore travel at the Seller's risk.
ARTICLE 10 - RIGHT OF WITHDRAWAL
In accordance with applicable UK consumer law, the consumer Customer may notify the Seller of their decision to cancel the contract within fourteen (14) calendar days from the day after receiving the Product, without having to give any reason or pay a penalty. After notifying the Seller, the Customer then has fourteen (14) calendar days to send the Product back.
During the statutory cooling-off period, the Customer may inspect and handle the Product only as they would reasonably be permitted to do in a shop. The Seller may make a reasonable deduction from the refund if the Product's value has been reduced by handling beyond what is necessary to establish its nature, characteristics and functioning. Original packaging should be returned where reasonably possible, but its absence does not automatically remove the Customer's statutory cancellation rights.
The right of withdrawal may be exercised using the form available in Appendix 2 hereto, or by any other unambiguous statement expressing the wish to withdraw, sent by email to contact@minalights.com. An acknowledgement of receipt will be sent to the Customer immediately by the Seller.
Where the right of withdrawal is exercised within the above period, the price of the Product(s) purchased and the delivery charges are refunded. In accordance with our commercial policy, return costs (including the return label) are also covered by the Seller — more favourable than the legal minimum, which would normally place these costs on the Customer.
In addition to the statutory withdrawal right, the Seller offers a commercial return period during which the Customer may request a return within 30 calendar days of receipt, subject to the separate eligibility conditions explained in the Returns & Refunds Policy. These commercial conditions do not restrict statutory rights. See our Returns & Refunds Policy for full details.
For returns made under the statutory cooling-off right, the refund will be issued to the Customer's original payment method within 10 calendar days of the Seller receiving the returned goods or receiving evidence that they have been sent back, whichever occurs first. For returns made under the extended commercial return policy, the refund will be issued to the original payment method within 10 calendar days after the return has been received, inspected and accepted, in accordance with our Returns & Refunds Policy.
ARTICLE 11 - SELLER'S LIABILITY - WARRANTY
Product descriptions identify the available specifications and intended use of each item. Customers should follow supplied safety and installation instructions and use a qualified electrician where required. We remain responsible for meeting any applicable product safety and consumer law obligations.
The Products supplied by the Seller benefit, as of right and without additional payment, independently of the right of withdrawal, from statutory consumer rights under applicable UK consumer law:
- the right to goods that conform to the contract, are as described, of satisfactory quality and fit for purpose;
- the right to a remedy where a Product is apparently defective, damaged, or does not correspond to the order, or is affected by a hidden defect arising from a material, design or manufacturing fault rendering the Product unfit for use,
under the conditions and in the manner set out in Appendix 1 to these Terms and Conditions of Sale.
Where a Product does not conform to the contract, the Customer may be entitled to a repair, replacement, price reduction or refund, in accordance with the remedies available under applicable UK consumer law and subject to the time limits provided for under that law.
These statutory rights apply independently of any commercial warranty that may cover the Product.
Where a Product is non-conforming or defective, the Seller will provide the remedies available under applicable UK consumer law. The Seller will provide a prepaid return label or otherwise cover reasonable return costs.
Where the Customer is entitled to a refund for a non-conforming or defective Product, it will be issued to the Customer's original payment method as soon as possible and within 10 calendar days after the Seller agrees that the Customer is entitled to it.
The Seller's liability shall not be engaged in the following cases:
- misuse, use for professional purposes, negligence or lack of maintenance on the part of the Customer, normal wear and tear of the Product, accident or force majeure.
Nothing in this Article limits the remedies available to consumers under applicable UK consumer law, including repair, replacement, price reduction or refund where legally applicable.
ARTICLE 12 - PROTECTION OF PERSONAL DATA
In accordance with applicable UK data protection law, it is noted that the personal data requested from the Customer is necessary for the processing of their order and the issuing of invoices. This data may be disclosed to the Seller's partners responsible for the performance, processing, management and payment of orders.
The processing of information provided through the website complies with legal requirements regarding the protection of personal data.
The Customer has an ongoing right of access, modification, rectification, objection, portability and restriction of processing in respect of information concerning them. This right may be exercised by contacting the Seller at contact@minalights.com, or by consulting our Privacy Policy. In the event of an unresolved complaint, the Customer may refer the matter to the UK Information Commissioner's Office (ICO).
ARTICLE 13 - INTELLECTUAL PROPERTY
The content of the website is the property of the Seller and its partners and is protected by applicable intellectual property laws and international conventions. Any reproduction, in whole or in part, of this content is strictly prohibited and may constitute an act of infringement, parasitism and unfair competition.
ARTICLE 14 - UNFORESEEABILITY
These Terms and Conditions of Sale expressly exclude the application of any doctrine allowing a party to seek renegotiation, suspension or termination of the contract solely because its performance has become more onerous than anticipated. The Seller and the Customer therefore each waive their right to invoke such a doctrine, to the extent it might otherwise apply.
ARTICLE 15 - FORCE MAJEURE
The Parties shall not be held liable if the non-performance or delay in performance of any of their obligations, as described herein, results from a case of force majeure, meaning an event beyond that party's reasonable control which could not reasonably have been foreseen or avoided.
ARTICLE 16 - GOVERNING LAW - LANGUAGE
These Terms and Conditions of Sale shall be governed by the laws of England and Wales, without depriving consumers of any mandatory protections applicable to them under the law of their country of residence. They are drafted in English. Should they be translated into one or more languages, only the English text shall prevail in the event of a dispute.
ARTICLE 17 - DISPUTES
All disputes to which purchase and sale transactions concluded under these Terms and Conditions of Sale may give rise, concerning their validity, interpretation, performance, termination, consequences and aftermath, and which could not be resolved amicably between the Seller and the Customer, shall be submitted to the competent courts of England and Wales, subject to the mandatory consumer protection provisions applicable in the Customer's country of residence where the Customer is acting as a consumer.
Before taking any legal action, the Customer is encouraged to first contact Mina Lights directly at contact@minalights.com to seek an amicable resolution. Where available, disputes may also be referred to an appropriate alternative dispute resolution (ADR) service. This does not affect the Customer's right to bring proceedings before the courts, or to rely on any mandatory consumer protections available to them.
ARTICLE 18 - PRE-CONTRACTUAL INFORMATION - CUSTOMER ACCEPTANCE
The act of an individual (or legal entity) placing an order on the website constitutes full and complete adherence to and acceptance of these Terms and Conditions of Sale and an obligation to pay for the Products ordered, which is expressly acknowledged by the Customer, who waives in particular any right to rely on any conflicting document that would not be binding on the Seller.
APPENDIX 1 - PROVISIONS RELATING TO STATUTORY WARRANTIES
Under applicable UK consumer law on the sale of goods, the Seller is required to deliver goods that conform to the contract and is liable for any lack of conformity existing at the time of delivery, including that resulting from the packaging or assembly instructions where this was the Seller's responsibility.
To conform to the contract, the goods must in particular:
- correspond to the description, type, quantity and quality set out in the contract;
- be of satisfactory quality, having regard to the nature of the goods, their price, and any public statements made by the Seller, in particular in advertising or labelling;
- be fit for the purpose ordinarily expected of similar goods;
- or possess the characteristics agreed between the parties, or be fit for any special purpose sought by the buyer, made known to the Seller and accepted by the Seller.
Where goods do not conform to the contract, the Customer may be entitled to a repair, replacement, price reduction or refund, in accordance with the remedies available under applicable UK consumer law and subject to the time limits provided for under that law.
APPENDIX 2 - WITHDRAWAL FORM
This form should only be completed and returned if the Customer wishes to withdraw from an order placed on minalights.com, subject to any exclusions or limits on the exercise of the right of withdrawal under the applicable Terms and Conditions of Sale.
