SECTION 3 - ORDERS
When you place an order, you are making an offer to purchase. Mina Lights may decline an order where there is a legitimate reason, such as product unavailability, suspected fraud or a material pricing error, subject to applicable law. Your order is only deemed accepted once confirmed in writing by Mina Lights. We must receive and process your payment before your order is confirmed. Please review your order carefully before submitting it, as cancellation requests are subject to the cancellation and withdrawal rights set out in our Terms and Conditions of Sale and Returns & Refunds Policy. In the event your order is declined, amended or cancelled, we will attempt to contact you using the email address, billing address and/or telephone number provided at the time of your order.

SECTION 4 - PRICING AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Unless expressly stated otherwise, prices displayed on our Store are in pounds sterling (£) and are inclusive of all applicable taxes, where value added tax applies. In accordance with our Shipping Policy, delivery is currently offered within the United Kingdom.
We may, from time to time, offer promotions on our Services which may affect pricing and which are governed by terms and conditions separate from these Terms. In the event of a conflict between the terms of a promotion and these Terms, the terms of the promotion shall prevail.
You agree to provide current, complete and accurate purchase, payment and account information for all purchases made on our store. You agree to promptly update your account and other information, including your email address and payment card numbers and expiration dates, so that we can complete your transactions and contact you as needed.
You represent and warrant that: (i) your payment card information is accurate, correct and complete; (ii) you are authorised to use the payment card for the purchase; (iii) charges incurred will be honoured by your card issuer; and (iv) you will pay the charges incurred at the posted prices, including any delivery and handling charges and all applicable taxes.
SECTION 5 - SHIPPING AND DELIVERY
For UK orders, our estimated total delivery timeframe is 5–7 business days, comprising 1–2 business days for order processing and 4–5 business days for transit. These are estimates, and unforeseen circumstances outside our reasonable control may affect delivery. We will inform you of material delays when reasonably possible. Nothing in these Terms limits your statutory rights or our legal obligations concerning late or failed delivery, including any right to cancel and obtain a refund where applicable. The risk of loss or damage during transit remains with us until you, or a person you nominate, take physical possession of the Products. SECTION 6 - INTELLECTUAL PROPERTY
Our Services, including without limitation all trademarks, trade names, text, displays, images, graphics, product reviews, video and audio content, as well as their design, selection and arrangement, are the exclusive property of Mina Lights, its affiliates or its licensors. They are protected by applicable intellectual property laws and international conventions.
These Terms permit you to use the Services solely for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store or transmit any material on the Services without our prior written consent. Mina Lights is powered by Shopify, which enables us to provide you with the Services. However, any sale or purchase made through our Store is made directly with Mina Lights. By using the Services, you acknowledge and agree that Shopify has no responsibility for any aspect of the sales between you and Mina Lights, including any damage, injury or loss resulting from products or services purchased. You expressly release Shopify and its affiliates from any claim, damage or liability arising from or relating to your purchase and transaction with Mina Lights.

Additionally, you agree not to: (a) upload or transmit viruses or any other malicious code that may affect the operation of the Services; (b) reproduce, duplicate, copy, extract, sell, resell or otherwise exploit any part of the Services; (c) collect or track the personal information of others; (d) engage in spamming, phishing, pharming or pretexting through the Services; (e) use any robot, spider, scraper or other automated or manual means, including AI tools (including agentic AI), to access the Services; (f) interfere with, circumvent or disable any security or authentication feature, robot exclusion header or other measure we implement to restrict access to the Services. We reserve the right to terminate this agreement or your access to the Services (or any part thereof), at our sole discretion, at any time and without notice. You will remain liable for all amounts due up to and including the date of termination.
The following sections shall survive any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provision that by its nature should survive termination.
SECTION 16 - PRODUCT INFORMATION AND STATUTORY RIGHTS
We take reasonable care to describe our products accurately and to provide information that helps you make informed purchasing decisions. Minor differences in colour may arise from screen settings, but this does not affect your right to receive goods that match their description, are of satisfactory quality and are fit for purpose.
Nothing in these Terms excludes or restricts any rights or remedies that cannot legally be excluded under the Consumer Rights Act 2015 or other applicable consumer law. The remedies available for faulty or misdescribed products are described in our Terms & Conditions and Returns & Refunds Policy.
SECTION 17 - LIMITATION OF LIABILITY
Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability which cannot lawfully be excluded. We remain responsible for fulfilling our contractual obligations, including delivery, the quality and description of goods, and statutory consumer remedies. We are not responsible for losses that we could not reasonably foresee when the contract was made or for losses caused solely by events outside our reasonable control, except where applicable law provides otherwise. This section does not affect your statutory rights.
SECTION 18 - INDEMNIFICATION
You agree to indemnify, defend and hold harmless Mina Lights, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers, from any loss, damage, liability or claim, including reasonable legal fees, made by any third party arising out of or relating to (1) your breach of these Terms of Service or the documents they incorporate by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Services.
We will notify you of any claim covered by this indemnity, provided that a failure to promptly notify you shall not relieve you of your obligations hereunder, except to the extent you are materially prejudiced by such failure. We may assume the defence and settlement of any claim at your expense, including the choice of legal counsel, but we will not settle any claim involving non-monetary obligations on your part without your consent (which you may not unreasonably withhold). You will cooperate with us in the defence of any claim covered by this indemnity, including by providing relevant documents.
SECTION 19 - SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms of Service. Such determination shall not affect the validity or enforceability of any other remaining provisions.

Our failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service, together with any policies or operating rules posted by us on this site or in respect of the Service, constitute the entire agreement and understanding between you and us, and govern your use of the Service. They supersede any prior or contemporaneous agreements, communications or proposals, whether oral or written, between you and us (including, without limitation, any earlier versions of these Terms of Service).

These Terms of Service, as well as any separate agreement under which we provide you with the Services, shall be governed by the laws of England and Wales, without depriving consumers of any mandatory protections applicable to them under the law of their country of residence. You and Mina Lights expressly submit to the jurisdiction of the courts of England and Wales, subject to the mandatory consumer protection provisions applicable in the customer's country of residence where the customer is acting as a consumer.
